Legal Analysis Services Agreement

Parties

This Legal Analysis Services Agreement ("Agreement") is entered into between the following parties:

Subscribing Attorney:

Scope of Services

The Provider agrees to deliver legal research and analysis services to the Subscribing Attorney in accordance with the selected service tier and terms set forth below.

Independent Review and Verification

The Subscribing Attorney acknowledges that all work product delivered under this agreement constitutes research and analysis support. It does not constitute legal advice to the Subscribing Attorney's clients. The Subscribing Attorney bears full responsibility for independently reviewing, verifying, and adapting all work product before use in any legal proceeding. The Provider's analysis is a tool to support the Subscribing Attorney's independent professional judgment, not a substitute for it.

Confidentiality

All case materials submitted by the Subscribing Attorney shall be treated as confidential. The Provider will not disclose case materials to any third party except as required by law. All work product is delivered exclusively to the Subscribing Attorney. The attorney-client privilege between the Subscribing Attorney and their clients is not affected by this engagement.

Payment Terms

Limitation of Liability

The Provider's total liability under this agreement shall not exceed the fees paid by the Subscribing Attorney for the specific engagement giving rise to the claim. The Provider shall not be liable for any consequential, incidental, or indirect damages arising from the use of the work product.

Term and Termination

Either party may terminate this agreement with fourteen (14) days' written notice. Fees for work already completed or in progress at the time of termination are non-refundable. Upon termination, the Provider will deliver any completed or partially completed work product.

Dispute Resolution

Any disputes arising under this agreement shall first be submitted to mediation in Santa Rosa County, Florida. If mediation is unsuccessful, disputes shall be resolved in the courts of Santa Rosa County, Florida. This agreement shall be governed by and construed in accordance with the laws of the State of Florida.

No Attorney-Client Relationship with Subscribing Attorney's Clients

The Provider has no attorney-client relationship with the Subscribing Attorney's clients. The Provider owes no duty of care, confidentiality, or loyalty to the Subscribing Attorney's clients. The Subscribing Attorney is solely responsible for all professional obligations to their clients, including the independent verification of all work product.
